Terms, Conditions and Service Agreement

 

Meaning of key words in this Agreement

 

“We/Us/Our” means The Good Guys Group, Registered Office 84 High Street, Harlesden, London, NW10 4SL

“You/Your” refers to you or your organization

The “Unit” means the self-contained storage room

The Centre means the building or facility the address of which is stated above

“Goods” means anything that you bring into The Centre or store in The Unit. “Period” is 4 weeks.

“Services” means Use of the Unit, access to The Centre.

 

The Agreement

 

This agreement supersedes any previous Agreements between You and Us, forms the entire agreement between You and Us, may not be varied except in writing by a director of Us and shall be governed by English law; You and We irrevocably submit to the jurisdiction of the English courts.

 

Tenancy and Relationship

 

Nothing in this Agreement or the relationship between You and Us will create any tenancy, lease or any relationship of landlord and tenant. You agree that We are not a warehouse keeper.

 

Your Duty to Keep Us Informed About Your Change of Address

 

You will at all times keep Us informed in writing of Your current address. Notice from You to Us must be in writing and will be effective from the date we receive it.

 

Your Rights and Obligations

 

Subject to the terms and conditions of this Agreement You may have access to The Centre and Use of the Unit for the purpose of storage and may terminate this Agreement by giving Us 28 days notice writing. You agree to pay our charges subject to “Payment Terms” below, to inspect The Unit prior to placing goods in the Unit to ensure that The Unit is in good condition and is suitable for Your requirements (if You do not tell us otherwise in writing then You agree it is), to keep The Unit in the same condition as it was when it was first made available to You, to advise Us promptly of any damage or want of repair in The Unit, to lock The Unit at all times expect when you are inside or directly outside it, to comply at all times with the instructions of our employees and any regulations for the Use of The Centre that We might issue from time to time, to give Us the days notice as above, when You wish to end the Agreement, remove all Goods and rubbish from The Unit and The Centre, leave it clean and tidy, inspect the condition of The Unit together with a member of our staff and pay all charges due when You want the Agreement to end (if You do not do this the Agreement will continue in force) and not bring into The Centre or The Unit Goods which are owned by someone else, unless the owner has authorised You to do this and to ender into this Agreement on his/her/its behalf, or bring into The Centre or The Unit goods which are potentially dangerous, damaging or explosive, likely to encourage vermin or other pests or to cause infection, animals, including pets, birds or fish and their cages or tanks, plants or other growing things, food or perishable goods or flammable materials, illegal items or items obtained illegally and not to do anything that might cause nuisance to other Customers or ourselves invalidate any of our insurance policies or those of our Customers or (2) increase our premiums, (if You do so You will be liable for the costs). You irrevocably grant Us first lien on all Goods stored in The Unit, which allows us to retain the goods as security for payment on all amounts due under this Agreement and for any other monies You owe Us.

 

Our Right and Obligations

 

Subject to the terms and conditions of this Agreement We will provide You with the Use of The Unit for the purpose of storage, keep The Centre open during the published opening hours apply the following security policy;- A password will be issued to You. No admission will be granted unless You give the password although We will give a prompt to assist if You forget it. Only You can change the password and You will have to produce of identity before doing so. We will no allow others access to The Unit unless You have given Us written authority. We may terminate this Agreement by giving You 28 days notice in writing, refuse to give You access to The Centre and/or terminate the Agreement immediately if You are in breach of any of the conditions of this Agreement, vary opening hours from time to time by means of notice at The Centre, close The Centre on bank and public holidays, open The Centre outside published hours at the discretion of The Centre manager or a director of Us only and We may charge You for this, decide which unit You may Use, move at our cost and risk Your Goods from one unit to another although We will have due regard for the safety and security of Your unit, obtain access to Your unit either by means of key or by forcible entry,if due to circumstances outside of our control including but without the event of emergency due to unforeseen circumstances such as flood, fire, explosion, riot or if We consider it appropriate to move Your goods from their existing unit to another unit in The Centre, in the interests of health, safety and security, open or inspect goods and if We do so and reasonably believe that they pose a threat to health,

 

safety or security We shall be entitled (without prejudicing any other rights, We   may have) to dispose of them and not be liable to You for their value or for other  compensation, lock any occupied units that are found unlocked and charge for the provision of a lock at our published tariff. 

 

Payment Terms

 

At the commencement of the Agreement, prior to any goods being placed in The Unit You will pay Us a deposit equal to one Period, the storage charge for the first Period. After that until the end of this Agreement You will pay Us storage charges on or before the first day of each Period. At the end of the Agreement You will pay storage charges until the latest expiry of the required days written notice You gave Us, the date You remove all property and rubbish from The Unit and inspected and agreed its condition with Us, the date The Unit is reinstated to the condition it was in on commencement of this Agreement, We will hold the deposit until You terminate the Agreement, when We will return the deposit to You, (without interest), within 14 days of termination, less any deduction We make in respect of any other obligation to Us that You have not discharged in full including storage charges, cleaning, repairs, disposal of rubbish, the cost of reinstating The Unit to the same condition as at the commencement of this Agreement.

 

Payment and What Will Happen If you Do Not Pay By Due Date

 

You should settle your charges by the due date on our invoice You may pay by Direct Debit, credit card, cheque or cash. All payments by cheque should have your Client code written on the back of the cheque. If you pay by cheque and it is returned to Us unpaid We will be entitled to charge You £12. If You are paying by Direct Debit, the first payment will need to be by one of the other means of payment, the second and subsequent payments will be collected by Direct Debit. If we do not receive payment for any Period payment within 7 days of due date We will charge You £5 or 10% of the overdue payment, whichever is the greater. If for any Period payment is not made within 14 days of the due date We will deny You access to The Centre and overlock The Unit (this means that You will not be able to get access to it) until You have paid all our charges, issue to You 28 days notice to remove Your goods and pay all money due to Us. If You fail to pay We are entitled to move your goods to another area of the Centre or to  sell or dispose of some or all of the goods without further notice. If in our reasonable opinion or the opinion or a competent advisor the goods are of no resale value or the costs of sales would exceed the likely proceeds We shall be entitled to dispose of them as We see fit. If We sell Your goods we will make reasonable efforts to sell them in the correct market but We will not be liable to You if the sales does not realise any particular or anticipated value. We shall be entitled to make a charge for the administration, delivery and all other work involved in sale or disposal and this will be added to Your account. Any net proceeds of sale will be credited to Your account and any eventual surplus will be paid to You without interest. Any sale or disposal will be without prejudice to our rights to recover any outstanding charges still remaining after the goods have been sold or disposed of.

 

Liabilities and Indemnities

 

The basis of Your Use of The Unit is that You are responsible for inspecting Goods on arrival at The Centre, handling and moving them in and out of The Unit and The Centre, keeping all records You require and keeping The Unit locked, We will not have any knowledge relating to the presence, absence, completeness, condition, value, nature or state of repair or the goods. We will not be held liable for loss of goods or damage to property where We believe that reasonable grounds were provided to allow access to Your  unit by people other than Yourselves. We shall not be liable for any indirect, financial or consequential loss arising from loss or damage to the goods stored in The Unit directly due to our negligence You suffer loss or damage to the contents of The Unit We shall be liable to You for Your loss of £10 per square foot of the area of The Unit, whichever is the lower amount. We may be willing to accept a higher liability on payment of a higher storage charge. You will indemnify Us against any costs arising from all claims, demands, liabilities, damage, loss and expenses incurred by Us, our agents, employees or other customers arising out of Your Use of The Unit or Centre by You, Your agent or employees, or that arises out of any breach of the storage Agreement by You.

 

Insurance

 

As the above limit of liability may not always be adequate to cover the value of Goods, You may place in The Unit We insist that You arrange insurance of The Goods .If You have arranged Your own insurance You will be required to produce evidence of cover and to complete an insurance form which includes a waiver of subrogation. Alternatively We are able to arrange insurance on Your behalf, subject to policy terms and payment or premium, with leading underwriters. For Us to do this We will require You to complete a proposal form, including statement of the value of the Goods, and We will provide you with a summary of the terms and conditions of the insurance policy offered. The full terms of cover are available for inspection at The Centre upon request.
